These Terms of Sale (“Terms”) govern your use of Wax Poetics’s website and platforms for buying collectibles via auctions (“Platform”). By placing a bid or purchasing an item, you agree to be bound by these Terms, our Website Terms of Use, and our Privacy Policy.

1. Our Role & Nature of Sales

Wax Poetics acts as an agent for artists, labels, and collectors (“Consignors”) offering items on the Platform. In some cases, Wax Poetics may also act as principal — such items will be clearly disclosed.

2. Auction Bids, Orders & Acceptance

• Bids placed within the final 10 minutes extend the auction by 10 minutes (“popcorn bidding”) until no further bids are placed
  
• Placing a bid constitutes an offer to purchase; acceptance is confirmed only upon receipt of invoice after the auction closes. Only upon receipt of this invoice and full payment is received does the contract of sale form.
• In the case of any technical issues during the bidding process, Wax Poetics reserves the right to re-run the auction for a minimum of 24 hours.

3. Authenticity Guarantee

Wax Poetics offers a limited authenticity guarantee for items specifically labeled with “Authenticity Guaranteed”. This guarantee applies only to the original buyer, for a period of [e.g. 90 days] after purchase. If an item is found to be misrepresented, Wax Poetics’ sole obligation is to refund the purchase price upon return of the item in the same condition.

4. Pricing & Buyer’s Premium

Winning bid = “Hammer Price.” The total cost includes:

• The Hammer Price,
  
• A buyer’s premium of 15%
• Shipping, packaging, handling & insurance
  
• Import duties are to be paid upon receipt, where necessary, by the buyer. This is not included in the costs above and may vary per location
  

5. Payment Terms & Default

• Payment is to be made within 48 hours of receiving the invoice
• Non-payment within that time entitles Wax Poetics to cancel the sale, re-offer, or re-list the item.
  

6. Collection & Shipping

• Items will be shipped within a minimum of 2 weeks once the Collection closes. This may vary or extend depending on each Collection.
  

7. Risk & Title

• Title to the item transfers once the buyer takes physical possession or, at the latest, after the 30-day collection period post-payment.
  
• Until then, Wax Poetics bears risk of loss or damage, except in cases of force majeure or mishandling by third parties.
  

8. Limitation of Liability

Wax Poetics disclaims liability for indirect, consequential, or punitive damages. Total liability is capped at the Hammer Price paid, except in cases of gross negligence, intentional misconduct, or personal injury.

9. Force Majeure

Wax Poetics is not liable for delays or failures due to unforeseen events such as natural disasters, strikes, internet outages, war, or governmental regulation.

10. Indemnification

You agree to indemnify Wax Poetics and related parties from claims arising from your breach of these Terms, fraudulent acts, or misuse of the Platform.

11. Dispute Resolution

All disputes are governed by the laws of the Netherlands. Parties agree to first attempt resolution via arbitration in Amsterdam, with no class actions permitted.

12. Amendments & Waivers

Wax Poetics may modify these Terms at any time by posting updates. It is your responsibility to review them periodically. A waiver applies only if provided in writing by an authorized representative.

13. Entire Agreement

These Terms, along with our Website Terms of Use and Privacy Policy, constitute the entire agreement regarding your purchase and supersede all prior understandings.
